What is Due Diligence?
Due Diligence is an assessment of the main economic and legal aspects of a company, in order to detect any critical aspects that could affect the determination to complete a complex commercial transaction, usually M&A (mergers and acquisitions).
What can we do for Due Diligence?
Thanks to a multidisciplinary team of professionals, we implement all the preparatory operations for assessing the solidity of a company and the adequacy of the price of the assets involved.
We can support you in the structuring of transactions and in the drafting and negotiation of the acquisition and transfer agreements, whether during the various stages of the negotiation, before, during or after the conclusion of the M&A transactions.
Our aim is to help you maximize the value of the transaction and understand the tax implications associated with the transfer of ownership of target companies.
Legal, accounting and tax due diligence:
- Analysis of existing contracts and commercial agreements;
- Analysis of authorizations and disputes;
- Verification of the accounting and fiscal situation of the company;
- Verification of the regularity of accounting books and VAT books, tax returns and positions with the tax authorities.
Financial due diligence:
- Economic-financial analysis of the company with the aim of identifying and evaluating the strengths and weaknesses of the target company, the level of profitability, and current and future cash flows;
- Asset analysis of the target company, which takes the form of an analysis of existing assets and liabilities;
- Evaluation of the target company as a final summary of the due diligence.
